1. Agreement to Terms

By accessing and using User Manager ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree to abide by the above, please do not use this service.

User Manager is provided by Plicca ("Company", "we", "us", or "our"). These Terms of Service apply to all visitors, users, and others who access or use the Platform.

2. Use License

Permission is granted to temporarily download one copy of the materials (information or software) on User Manager for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

  1. Modifying or copying the materials
  2. Using the materials for any commercial purpose or for any public display (commercial or non-commercial)
  3. Attempting to decompile or reverse engineer any software contained on User Manager
  4. Removing any copyright or other proprietary notations from the materials
  5. Transferring the materials to another person or "mirroring" the materials on any other server
  6. Attempting to gain unauthorized access to, interfering with, or disrupting the Platform or its services
  7. Creating automated tools or bots to access the Platform
  8. Selling, trading, or reselling User Manager or access to the Platform

3. Acceptable Use Policy

You agree not to use User Manager:

  • To transmit any unlawful, threatening, abusive, defamatory, obscene, or otherwise objectionable material
  • To impersonate or attempt to impersonate any person or entity
  • To violate any applicable laws or regulations
  • To interfere with or disrupt the integrity or performance of the Platform or third-party services
  • To attempt to gain unauthorized access to any portion of the Platform
  • To collect or track personal information of others without consent
  • To spam, phish, pharm, pretext, spider, crawl, or scrape the Platform
  • To violate intellectual property rights of the Company or third parties
  • To upload viruses or malware that could damage the Platform or others' computers
  • To engage in any form of harassment or discrimination

4. Account Registration and Responsibility

Registration

When you register for an account on User Manager, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the confidentiality of your password
  • Not share your account with others

Account Security

You are responsible for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to maintain the confidentiality of your account information.

Organization Accounts

If you register as an organization, you represent and warrant that you have the authority to bind your organization to these Terms. You remain responsible for all activities conducted under your organization account.

5. Platform Connectors and Third-Party Services

Third-Party Platform Terms

User Manager allows you to connect with and manage users across external platforms (Slack, Hex, Dagster, Claude, ChatGPT, OpenAI, Cursor, Cube, Felt, etc.). By connecting to these platforms through User Manager, you agree to comply with their terms of service, privacy policies, and usage guidelines.

Your Responsibility

You are solely responsible for:

  • Maintaining valid credentials and API tokens for connected platforms
  • Ensuring you have authorization to connect platforms on behalf of your organization
  • Managing user access and permissions across connected platforms
  • Complying with the terms and policies of all connected platforms
  • Understanding the consequences of user synchronization and data sharing

Platform Integration Disclaimer

We are not responsible for:

  • Actions or policies of connected external platforms
  • Data loss or corruption on external platforms
  • Changes to third-party platform APIs or features
  • Disruptions in service at connected platforms
  • Unauthorized access to your accounts on external platforms

6. Credentials and Authorization

Storing Credentials

User Manager securely stores credentials and API tokens necessary to operate platform connectors. You grant us the right to store, encrypt, and use these credentials solely to:

  • Authenticate with external platforms
  • Synchronize user data
  • Manage user access and permissions
  • Perform automated operations you've authorized

Authorization Scope

You authorize User Manager to act on your behalf using the credentials you provide, only for the purposes specified in your connector configuration. You may revoke this authorization at any time by disconnecting the platform from User Manager.

7. Intellectual Property Rights

Platform Content

All materials on User Manager, including text, graphics, logos, images, and software, are the property of Plicca or its content suppliers and are protected by international copyright laws. Unauthorized reproduction is prohibited.

User Content License

By uploading, posting, or transmitting content to User Manager, you grant Plicca a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display your content solely for the purpose of operating the Platform and providing services to you. You retain ownership of your content.

Trademarks

User Manager, Plicca, and all related logos and brand names are trademarks or registered trademarks of Plicca. You may not use these trademarks without our express written permission.

8. Disclaimer of Warranties

USER MANAGER IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. PLICCA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

PLICCA DOES NOT WARRANT THAT:

  • The Platform will be uninterrupted, timely, secure, or error-free
  • Defects in the Platform will be corrected
  • The Platform is free of viruses or other harmful components
  • The results of using the Platform will meet your expectations
  • Platform integrations with third-party services will always function correctly

Your use of the Platform is at your own risk. We recommend regularly backing up critical data.

9. Limitation of Liability

IN NO EVENT SHALL PLICCA, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO:

  • Loss of data or corruption of files
  • Loss of revenue or profits
  • Loss of business or goodwill
  • Loss of access to platforms or services
  • Unauthorized access to your accounts
  • Costs of substitute services or products
  • Any other damages, even if advised of the possibility

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Plicca and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Platform or violation of these Terms
  • Your violation of any applicable laws or regulations
  • Your infringement of any intellectual property rights
  • Your violation of a third party's rights
  • Your violation of terms and policies of connected platforms
  • Your misuse of credentials or unauthorized actions on behalf of your organization

11. Modifications and Termination

Platform Changes

We reserve the right to modify or discontinue the Platform (or any part thereof) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Platform.

Termination of Accounts

We may terminate or suspend your account and access to the Platform at any time, for any reason, without notice or liability. Reasons for termination may include:

  • Violation of these Terms
  • Unauthorized access attempts
  • Abusive or harmful behavior
  • Non-payment of fees
  • Misuse of credentials on connected platforms
  • Legal or regulatory compliance requirements

Effect of Termination

Upon termination:

  • Your access to the Platform will be immediately revoked
  • Platform connectors will be disconnected
  • Stored credentials will be securely deleted
  • Account data will be retained according to our privacy policy and legal requirements
  • Any applicable fees owed remain due

12. Fees and Payment

Pricing

We may charge fees for certain features or services. Pricing information will be clearly displayed before you incur any charges. We reserve the right to modify pricing with 30 days' notice.

Payment Terms

Payment is due as specified in your subscription or service agreement. Failure to pay may result in suspension or termination of your account.

Refunds

Unless otherwise specified, fees are non-refundable. We may offer refunds at our sole discretion for specific circumstances.

13. Privacy and Data Protection

Your use of User Manager is also governed by our Privacy Policy. Please review the Privacy Policy to understand our practices regarding data collection, processing, and protection.

By using User Manager, you consent to our collection and use of information as described in the Privacy Policy.

14. Governing Law and Jurisdiction

These Terms of Service and your use of User Manager are governed by and construed in accordance with the laws of the jurisdiction where Plicca is located, without regard to its conflicts of law principles.

You agree to submit to the exclusive jurisdiction of the courts located in that jurisdiction for resolution of any disputes.

15. Dispute Resolution

Informal Resolution

If you have a dispute with Plicca, you agree to first attempt to resolve the matter by contacting us at support@plicca.com with a detailed description of the issue.

Arbitration

If the dispute cannot be resolved informally, you agree to submit to binding arbitration rather than litigation. Arbitration shall be conducted in accordance with the rules of a mutually agreed-upon arbitration organization, or if no agreement can be reached, in accordance with applicable law.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be enforced to the maximum extent possible, and the remaining provisions will remain in full force and effect.

17. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other documents referenced herein, constitute the entire agreement between you and Plicca regarding your use of User Manager and supersede all prior agreements, understandings, negotiations, and discussions, whether written or oral, relating to the subject matter.

18. Changes to These Terms

We may update these Terms of Service from time to time to reflect changes in our practices, technology, legal requirements, and other factors. We will notify you of material changes by updating the "Last Updated" date above and/or sending you a notification.

Your continued use of the Platform after such modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue your use of the Platform.

20. Acknowledgment

BY USING USER MANAGER, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE, UNDERSTAND THEM, AND AGREE TO BE BOUND BY ALL OF THEIR TERMS AND CONDITIONS. IF YOU DO NOT AGREE WITH THESE TERMS, PLEASE DO NOT USE THE PLATFORM.
